1. Agreement to Terms

By accessing or using the Site, you confirm you have read, understood, and agree to be bound by these Terms, including any policies referenced here (like our Privacy Policy). We may update these Terms from time to time; the “Last updated” date shows the latest version. Continued use after changes means you accept the revised Terms.

The Site is intended for users 18 years and older. If you access the Site from outside Switzerland, you are responsible for complying with local laws.

2. Intellectual Property Rights

The Site, its content (code, databases, functionality, designs, text, images, audio, video) and the tipgreen names and logos are owned by or licensed to us and protected by intellectual property laws. We grant you a limited, non-transferable licence to access and use the Site for personal, non-commercial use only. You must not copy, modify, publish, sell, distribute, or exploit the Site or its content without our prior written permission.

3. User Representations

You represent and warrant that:

• All registration information you submit is true, accurate, current, and complete, and you will keep it updated.
• You have legal capacity and will comply with these Terms.
• You are not a minor in your jurisdiction (and in any event are 18+).
• You will not access the Site via automated or non-human means.
• You will not use the Site for illegal or unauthorised purposes.
• Your use complies with all applicable Swiss and local laws.

We may suspend or terminate your account if any information is untrue, inaccurate, or incomplete.

4. User Registration

You may need an account to access certain features, including receiving or sending payouts. Keep your password confidential. You are responsible for all activity on your account. We may reclaim or change usernames if we deem them inappropriate or if they infringe on third-party rights.

5. Fees, Tipping and Payment Processing

We use Stripe as our third-party payment gateway and payout provider for handling both incoming payments and the distribution/payout of tips. By making payments or receiving tip payouts through the Site, you agree to be bound by Stripe's terms and services (Stripe Services Agreement).

We accept major credit cards (such as Visa and Mastercard) and other payment methods as indicated via Stripe on the Site. Platform fees, service charges, or processing fees may apply and will be disclosed on the Site. Prices and fees may change at any time, and applicable taxes (such as Swiss VAT) may be added.

You authorise us (via Stripe) to charge your selected payment method or deduct applicable platform fees from payouts through our online billing system. We may correct pricing errors even after requesting or receiving payment and may refuse or cancel any order or transaction.

6. Cancellation, Refunds and Non-Reversibility of Tips

All service purchases and paid fees are non-refundable unless required otherwise by mandatory Swiss law.

Special Rule for Tips: Once a tip transaction has been initiated and processed via Stripe, it is immediate, final, and non-refundable. Tips cannot be cancelled, reversed, or refunded to the sender, as they represent a direct monetary transfer (minus applicable fees) intended for the recipient.

7. Prohibited Activities

You must not, for example:

• Collect data from the Site to build a database or directory without our written permission.
• Trick, defraud, or mislead us or other users, especially to obtain sensitive account or payment information.
• Bypass, disable, or interfere with security-related features of the Site.
• Harass, abuse, or harm another person or our staff.
• Use automated tools (such as bots, spiders, or scrapers) to access or monitor the Site.
• Upload malware, viruses, spam, or any disruptive content.
• Infringe or violate any copyright, trademark, or intellectual property rights.
• Impersonate another person or misrepresent your identity.
• Reverse engineer, decompile, or disassemble any of the Site's software, except as permitted by law.
• Use the Site to compete with us or for unauthorised commercial purposes.
• Advertise goods/services or sell/transfer your profile without permission.
• Use tipgreen for any activities restricted or prohibited by our payment facilitator, Stripe.

8. User-Generated Contributions

If the Site allows you to post content (e.g., text, images, comments) (“Contributions”), you understand these may be public. You warrant that you own or have the necessary rights to your Contributions; they must be lawful, accurate, non-infringing, non-harassing, and appropriate. We may remove or re-categorise Contributions at our sole discretion and have no duty to monitor them.

9. Contribution Licence

By posting Contributions, you grant us a worldwide, perpetual, irrevocable, transferable, royalty-free licence to host, use, reproduce, display, distribute, adapt, and create derivative works from your Contributions in any media and to sublicense these rights. You waive any moral rights where permitted under applicable law. You retain full ownership of your Contributions.

10. Mobile Application Licence

If you access our services via a mobile application, we grant you a revocable, non-exclusive, non-transferable licence to install and use the app on your device in accordance with these Terms. You must not reverse engineer, modify, or use the app for commercial purposes beyond its intended use, remove proprietary notices, or use automated queries.

Apple & Android Devices: Your use must comply with the applicable app store terms (Apple App Store or Google Play). App stores have no obligation to provide maintenance or support services for the app.

11. Submissions (Ideas & Feedback)

Questions, comments, ideas, or feedback you send us (“Submissions”) are non-confidential and become our sole property. We may use them for any lawful purpose without acknowledgment or compensation to you. You warrant your Submissions are original or you have the right to provide them.

12. Third-Party Websites & Content

The Site may contain links to third-party websites or content. We do not control, endorse, or monitor them and are not responsible for their content, policies, or practices. Your dealings with third parties are solely between you and the respective third party.

13. Site Management

We reserve the right, but not the obligation, to: monitor the Site for violations; take legal action for violations; restrict or disable access to any content; remove excessive or burdensome files; and otherwise operate the Site to protect our rights and ensure its proper functioning.

14. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy at https://tipgreen.ch/privacy. By using the Site, you agree to the collection and use of data as outlined in our Privacy Policy, which complies with the Swiss Federal Act on Data Protection (FADP) and, where applicable, the GDPR.

Note: Due to the use of Stripe, transaction and payment data will be transferred to and processed by Stripe in accordance with their privacy standards.

15. Copyright Infringements

We respect intellectual property rights. If you believe material on the Site infringes your copyright, please contact us immediately (see Contact Us) with a detailed notification. Knowingly false or misleading claims may carry legal consequences under Swiss law.

16. Term and Termination

These Terms apply while you use the Site. We may, without notice, deny access to the Site to anyone for any reason, including breach of these Terms or applicable law, and may delete your account and any content at any time. If your account is terminated, you are prohibited from creating a new one under your name or a false identity.

17. Modifications and Interruptions

We may change, modify, or discontinue any part of the Site at any time without notice. We do not guarantee continuous, uninterrupted availability and are not liable for any downtime, technical issues, or discontinuance of services.

18. Governing Law

These Terms and your use of the Site are governed by and construed in accordance with the laws of Switzerland, excluding its conflict of law provisions and the U.N. Convention on Contracts for the International Sale of Goods (CISG).

19. Dispute Resolution

Informal Negotiations: Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute informally and in good faith for at least 30 days after written notice is provided.

Jurisdiction: Any dispute arising out of or in connection with these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts at the registered office of the company (Bottmingen / Arlesheim, Basel-Landschaft, Switzerland).

20. Corrections

Information on the Site may contain typographical errors, inaccuracies, or omissions (e.g., descriptions, pricing, availability). We reserve the right to correct, update, or change information at any time without prior notice.

21. Disclaimer

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY SWISS LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SITE AND ARE NOT RESPONSIBLE FOR (1) ERRORS OR INACCURACIES; (2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE; (3) UNAUTHORISED ACCESS TO OUR SERVERS OR DATA; (4) INTERRUPTIONS; (5) MALWARE TRANSMITTED BY THIRD PARTIES; OR (6) LOSSES FROM CONTENT OR TRANSACTION DISRUPTIONS MADE AVAILABLE VIA THE SITE.

22. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAIER CLEVER CONSULTING GMBH AND ITS DIRECTORS, EMPLOYEES, OR AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFIT, REVENUE, OR DATA) ARISING FROM YOUR USE OF THE SITE.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED THE LESSER OF THE AMOUNT PAID BY YOU TO US IN THE ONE (1) MONTH PRIOR TO THE CAUSE OF ACTION ARISING OR CHF 10.00. CERTAIN LAWS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INTENTIONAL MISCONDUCT OR GROSS NEGLIGENCE; IN SUCH CASES, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

23. Indemnification

You agree to defend, indemnify, and hold us (including our affiliates, officers, agents, partners, and employees) harmless from any claims, losses, damages, or expenses (including reasonable legal fees) arising from: (1) your Contributions; (2) your use of the Site; (3) your breach of these Terms; (4) your breach of your representations and warranties; (5) your infringement of third-party rights; or (6) any harmful act toward another user.

24. User Data

We may maintain data you transmit for Site performance and operations. While we perform routine backups, you are ultimately responsible for your data. We are not liable for any loss, corruption, or degradation of such data.

25. Electronic Communications, Transactions, and Signatures

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures and records for transactions with us.

26. Miscellaneous

These Terms and any policies posted on the Site constitute the entire agreement between you and us. Our failure to enforce any right or provision is not a waiver of that right. If any provision is found to be unlawful or unenforceable, that provision is severed, and the remaining provisions remain fully effective. No agency, partnership, joint venture, or employment relationship is created by these Terms.
